The purpose of this Press Conference is to inform that PDC, through its wholly owned subsidiary, PDC Premier Holdings Sdn Bhd (Premier) has disposed off its entire 60% equity in PDC Aquaculture Sdn Bhd (PDCA) to its joint venture partner, GST Seafood Suppliers Sdn Bhd (GST) on 20 May 2010 at the sale price of  RM1.3 million. The Share Sale Agreement was signed between both parties on 20 May 2010. Currently, the land is being leased to GST for a period of 15 years. <\/p>\n<p>2.                  The rental rate is RM11,385.20 per month for the 1st 3 years but from Years 4 to 15, the rental will be  RM22,770.50 per month. This rate is based on the valuation rate of RM330 per acre per month by Jabatan Perkhidmatan Penilaian Hartanah (JPPH). PDC has decided to give a 50% discount for the first 3 years to GST for agreeing to buy PDCA at JPPH\u2019s valuation price of RM1.3 million.<br \/>\n <!--more--><br \/>\n3.                  PDCA was established on 17 October 2005 with a paid-up capital of RM1.725 million. Premier&#8217;s cost of investment in PDCA amounted to RM1.035 million based on its 60% equity. PDCA commenced operation on 1 February 2006 and its main activity was to undertake aquaculture activity on a 69-acre site in Batu Kawan owned by PDC. The land was rented to PDCA at a monthly rental amounting to RM3,307.79 for a period of three (3) years commencing on 1 January 2007. This compares to RM11,385.20 per month for the first 3 years and RM22,770.50 per month for the subsequent 12 years under the new agreement. <\/p>\n<p>4.                  The decision by PDC to divest from PDCA is because aquaculture is not the core activity of PDC and PDC does not have the relevant expertise to manage and operate the business efficiently. Moreover, the company has been incurring losses since its incorporation and based on its audited accounts for the year ended 31 December 2008, its accumulated losses amounted to RM761,333 with a net tangible asset of RM0.56 per share. By selling the company at RM1.3 million, PDC has not only recouped its investment of RM1.035 million but even made a profit of RM 265,000.<\/p>\n<p>5.                  As compared to the earlier monthly rental rate of RM3,307.79 charged by PDC to PDCA,  the gain in rental to PDC  for the 15-year period will amount to RM3.09 million. This is based on the new rental sum of RM3.69 million over 15 years as compared to RM0.60 million for the same period.<\/p>\n<p>6.                  In other words, not only has PDC made a RM265,000 profit of its investment in a loss making company but has also increased rental revenue by 6 times of RM3.1 million from RM595,402 to RM 3,688,819.20. The total gain to PDC from this exercise will be RM 3,358,417. This demonstrates the benefits of CAT Governance by the new Pakatan Rakyat state government based on open market valuation.<\/p>\n<p>As compared to the earlier monthly rental rate of RM3,307.79 charged by PDC to PDCA,  the gain in rental to PDC  for  the 15-year period will amount to RM3.09 million. The breakdown is as follows:-<br \/>\n<a href=\"http:\/\/limguaneng.com\/wp-content\/uploads\/2011\/07\/en1.jpg\"><img decoding=\"async\" loading=\"lazy\" src=\"http:\/\/limguaneng.com\/wp-content\/uploads\/2011\/07\/en1.jpg\" alt=\"\" title=\"en\" width=\"454\" height=\"158\" class=\"aligncenter size-full wp-image-1651\" \/><\/a><\/p>\n<p>With the sale of PDCA, PDC has completely divested from the aquaculture business and is currently acting only as a landlord through the rental of the land to GST.<\/p>\n<p>&#8212; BM Translation&#8211;<\/p>\n<p>KENYATAAN AKHBAR OLEH KETUA MENTERI PULAU PINANG,<br \/>\nYAB LIM GUAN ENG PADA 8 JULAI 2011 DI KOMTAR, GEORGE TOWN<br \/>\n BERKENAAN ISU PDC AQUACULTURE SDN BHD<br \/>\n1.\tTujuan sidang akhbar ini adalah untuk memaklumkan bahawa PDC melalui anak syarikat penuhnya, PDC Premier Holdings Sdn Bhd (Premier) telah melupuskan ekuiti 60 % dalam PDC Aquaculture Sdn Bhd (PDCA) untuk membolehkannya bekerjasama dengan GST Seafood Suppliers Sdn Bhd (GST) pada 20 Mei 2010 pada harga jualan sebanyak RM1.3 juta. Perjanjian Jualan Saham telah ditandatangani antara kedua- dua pihak pada 20 Mei 2010. Pada masa ini, tanah tersebut dipajak kepada GST bagi tempoh 15 tahun.<\/p>\n<p>2.\tKadar sewaan ialah RM11, 385.20 sebulan untuk tiga tahun pertama tetapi dari tahun 4 hingga 15, sewa yang dikenakan ialah RM22,770.50 sebulan. Kadar ini adalah berdasarkan kadar penilaian RM330 seekar sebulan oleh Jabatan Perkhidmatan Penilaian Hartanah (JPPH). PDC telah membuat keputusan untuk memberi diskaun 50% untuk 3 tahun pertama kepada GST untuk bersetuju membeli PDCA pada harga penilaian JPPH sebanyak RM1.3 juta.<\/p>\n<p>3.\tPDCA telah ditubuhkan pada 17 Oktober 2005 dengan modal berbayar sebanyak RM1.725 juta. Kos premier untuk pelaburan dalam PDCA berjumlah RM1.035 juta berdasarkan ekuiti 60%. PDCA memulakan operasinya pada 1 Februari 2006 dan aktiviti utamanya adalah untuk menjalankan aktiviti akuakultur di tapak seluas 69 ekar di Batu Kawan yang dimiliki oleh PDC. Tanah itu disewakan kepada PDCA dengan sewa bulanan sebanyak RM3,307.79 untuk tempoh tiga (3) tahun bermula 1 Januari 2007. Berbanding dengan RM11,385.20 sebulan untuk tiga tahun pertama dan RM22,770.50 sebulan untuk 12 tahun berikutnya di bawah perjanjian baru.<\/p>\n<p>4.\tKeputusan PDC untuk keluar dari PDCA adalah kerana akuakultur bukanlah aktiviti teras PDC dan PDC tidak mempunyai kepakaran yang relevan untuk mengurus dan mengendalikan perniagaan dengan cekap. Selain itu, syarikat juga telah menanggung kerugian sejak ditubuhkan dan berdasarkan akaun tahunan yang diaudit berakhir 31 Disember 2008, kerugian terkumpul berjumlah RM761, 333 dengan aset ketara bersih RM0.56 per saham. Dengan menjual syarikat pada harga RM1.3 juta, PDC bukan sahaja mendapat ganti rugi pelaburan sebanyak RM1.035 juta tetapi mengalami keuntungan sebanyak RM265, 000.<\/p>\n<p>5.\tBerbanding dengan kadar sewaan bulanan sebelum ini iaitu RM3,307.79 yang dikenakan oleh PDC kepada PDCA, keuntungan sewa kepada PDC untuk tempoh 15 tahun berjumlah RM3.09 juta. Ini adalah berdasarkan kepada jumlah sewa baru sebanyak RM3.69 juta dalam tempoh 15 tahun berbanding RM0.60 juta untuk tempoh yang sama.<\/p>\n<p>6.\tDalam erti kata lain, bukan sahaja PDC memperolehi keuntungan pelaburan sebanyak RM265, 000 ketika kehilangan syarikat tetapi telah juga telah meningkatkan pendapatan sewa 6 kali ganda iaitu sebanyak RM3.1 juta daripada RM595, 402 kepada RM3,688, 819. Jumlah keuntungan oleh PDC daripada latihan tersebut ialah RM 3,358, 417. Ini menunjukkan manfaat daripada urustadbir CAT oleh Kerajaan Negeri Pakatan Rakyat yang berasaskan kepada penilaian pasaran terbuka.<\/p>\n<p>Berbanding dengan kadar sewaan bulanan yang awal iaitu RM3, 307.79 yang dikenakan oleh PDC kepada PDCA, keuntungan sewa PDC untuk tempoh 15 tahun akan berjumlah RM3.09 juta. penjualan PDCA, PDC telah melepaskan perniagaan akuakultur dan kini hanya berperanan sebagai tuan tanah melalui sewa tanah kepada GST.<\/p>\n<p>&#8212; Mandarin Translation&#8212;<\/p>\n<p>\u69df\u5dde\u9996\u5e2d\u90e8\u957f\u6797\u51a0\u82f1\u4e8e2011\u5e747\u67088\u65e5\u5728\u5149\u5927\u4e54\u6cbb\u5e02\u9488\u5bf9\u69df\u5dde\u53d1\u5c55\u673a\u6784\u6c34\u4ea7\u517b\u6b96\u6709\u9650\u516c\u53f8\u53d1\u8868\u58f0\u660e\uff1a<\/p>\n<p>\u69df\u5dde\u53d1\u5c55\u673a\u6784\u5df2\u7ecf\u901a\u8fc7\u5176\u72ec\u8d44\u62e5\u6709\u7684\u5b50\u516c\u53f8PDC Premier Holdings Sdn Bhd (Premier) \u57282010\u5e745\u670810\u65e5\uff0c\u4ee5130\u4e07\u4ee4\u5409\u8131\u552e\u4e86\u8be5\u516c\u53f8\u5728\u69df\u5dde\u53d1\u5c55\u673a\u6784\u6c34\u4ea7\u517b\u6b96\u6709\u9650\u516c\u53f8\u768460%\u80a1\u4efd\u7ed9\u8054\u8425\u4f19\u4f34GST \u6d77\u9c9c\u4f9b\u5e94\u5546\u6709\u9650\u516c\u53f8\u3002\u4e0a\u8ff0\u4e8c\u9020\u5df2\u4e8e2010\u5e745\u670820\u65e5\u7b7e\u7f72\u80a1\u4efd\u4e70\u5356\u5408\u540c\u3002 \u76ee\u524d\uff0c\u4e0a\u8ff0\u5730\u6bb5\u51fa\u79df\u7ed9GST\u6709\u9650\u516c\u53f815\u5e74\u3002 <\/p>\n<p>\u6709\u5173\u5730\u6bb5\u7684\u9996\u4e09\u5e74\u79df\u91d1\u4e3a\u6bcf\u4e2a\u67081\u4e071385\u4ee4\u540920\u4ed9\uff0c\u7b2c\u56db\u5e74\u5f00\u59cb\u81f3\u7b2c15\u5e74\uff0c\u6bcf\u4e2a\u6708\u79df\u91d1\u4e3a2\u4e072770\u4ee4\u540950\u4ed9\u3002\u8fd9\u4e2a\u79df\u7387\u662f\u57fa\u4e8e\u8d44\u4ea7\u8bc4\u4f30\u670d\u52a1\u5c40\u7684\u4f30\u4ef7\u5373\u6bcf\u82f1\u4ea9\u6bcf\u4e2a\u6708330\u4ee4\u5409\u3002GST\u7b54\u5e94\u4ee5\u8bc4\u4f30\u5c40\u7684\u4f30\u4ef7130\u4e07\u4ee4\u5409\u6536\u8d2d\u69df\u53d1\u5c55\u673a\u6784\u6c34\u4ea7\u517b\u6b96\u516c\u53f8\uff0c\u69df\u53d1\u5c55\u673a\u6784\u5df2\u7ecf\u51b3\u5b9a\u5728\u9996\u4e09\u5e74\u4e3a\u4ed6\u4eec\u63d0\u4f9b 50%\u6298\u6263\u3002<\/p>\n<p>\u4e0a\u8ff0\u516c\u53f8\u4e8e2005\u5e7410\u670817\u65e5\u6210\u7acb\uff0c\u7f34\u8db3\u8d44\u672c\u4e3a172\u4e075000\u4ee4\u5409\u3002\u69df\u53d1\u5c55\u673a\u6784\u5728\u4e0a\u8ff0\u516c\u53f8\u768460%\u80a1\u6743\u7f34\u8db3\u8d44\u672c\u4e3a100\u4e073500\u4ee4\u5409\u3002\u69df\u53d1\u5c55\u673a\u6784\u6c34\u4ea7\u517b\u6b96\u516c\u53f8\u4e8e2006\u5e742\u67081\u65e5\u5f00\u59cb\u8fd0\u4f5c\uff0c\u5b83\u7684\u4e3b\u8981\u4e1a\u52a1\u662f\u8d1f\u8d23\u69df\u53d1\u5c55\u673a\u6784\u6240\u5728\u5cc7\u90fd\u52a0\u6e7e\u6240\u62e5\u6709\u7684\u4e00\u575769\u82f1\u4ea9\u7684\u571f\u5730\u8fdb\u884c\u6c34\u4ea7\u517b\u6b96\u3002\u8fd9\u5757\u571f\u5730\u4ece2007\u5e741\u67081\u65e5\u8d77\uff0c\u4ee5\u6bcf\u67083307\u4ee4\u540979\u4ed9\u51fa\u79df\u7ed9\u6c34\u4ea7\u517b\u6b96\u516c\u53f8\uff0c\u4e3a\u671f\u4e09\u5e74\u3002<\/p>\n<p>\u5728\u65b0\u7684\u534f\u8bae\u4e0b\uff0c\u9996\u4e09\u5e74\u7684\u6708\u79df\u4e3a1\u4e071385\u4ee4\u540920\u4ed9\uff0c\u63a5\u4e0b\u676512\u5e74\u7684\u6708\u79df\u4e3a2\u4e072770\u4ee4\u540950\u4ed9\u3002
