Why Is Teng Chang Yeow So Afraid To Get The Full Details Of The Sale Of 80 Acres Of Land In Pulau Jerejak From UDA, A BN Federal Government Agency?(e/c)

BN Penang Chairman Teng Chang Yeow continues to run and hide from showing proof to back up his false allegation that I had rejected a joint-venture agreement in 2013 between PDC and Ideal Property Group, causing PDC to lose about RM220 million in profit guarantees. He asked why I kept silent over the rejection of the joint-venture agreement in 2013, but decided to sell PDC’s 49% stake in TIRSB to Ideal Property’s subsidiary 3 years later?

I had stated that Teng had lied and asked him to show proof that I had rejected a deal with Tropical Island Resort Bhd(TIRSB) in 2013, resulting in a loss of profit guarantee of RM 220 million to PDC. Teng is able to run and hide, because the BN-controlled media, including several main Chinese newspapers, failed to uphold journalistic professionalism and ethics to press Teng Chang Yeow to show documentary proof.

Clearly these BN-controlled media, including several main Chinese newspapers, openly practice double-standards by not demanding the same degree of truth, documentary proof, investigative reporting and public accountability that they demand from the Penang Pakatan state government. My statements have either been downplayed, edited and even blacked out. The Penang Pakatan state government will no longer suffer in silence but expose to the public such unprofessional and unethical behavior.

Teng continues to harp on how PDC had priced its 49% stake in TIRSB to be at RM156 million, and why the proceeds of the sale to a subsidiary of Ideal will be paid over a period of 8 years? This is a question best answered by UDA, the majority owner of TIRSB with 51%. UDA brought in Ideal and proposed the price. We accepted after they agreed to first fully pay up the loan of RM4.4 million and that PDC 49% stake in TIRSB will only be transferred upon full payment of RM156 million after 8 years.

Teng should learn company law in Malaysia to understand that when you are a minority shareholder in a private limited company(sdn bhd), you have no say and even selling your own shares, you have to get approval from the Board of Directors. Since UDA controls the Board of Directors of TIRSB as the majority shareholder, they decide who to sell to and at what price.

We have rejected several proposals from UDA in the past but finally agreed with this sale at profit of RM140.6 million after UDA agreed to our terms. Teng continues to pretend and play the fool that he does not know the details of this transaction when he can get them easily from UDA, which is a federal government agency. Why is Teng Chang Yeow so afraid to get the full details of the sale of 80 acres of land in Pulau Jerejak from UDA, a BN Federal Government agency?

Similarly UMNO Deputy Health Minister Dr Hilmi Yahya is also pretending at playing the fool when he labelled the sale of PDC’s 49% stake in TIRSB as a loss to Penangites because we have lost control over the island. First, it is not the entire island but 80 acres of land out of the entire 895 acres in Pulau Jerejak. Second it is not the present Pakatan sate government but the previous BN state government that set up TIRSB in 1997 or sold the 80 acres of land to TIRSB in 2001 at 73% below market value.

Penangites was betrayed by BN when they sold 80 acres of land in 2001 at a loss of RM34.6 million to TIRSB. Penangites was also betrayed when we lost control of TIRSB when PDC only took a 49% stake in 1997 with an investment of RM15.44 million. Was Hilmi not part of the BN state administration in 1997 and 2001? By 2001, PDC and the Penang state government had effectively lost control of the 80 acres of land in Pulau Jerejak to UDA and the Federal government.

TIRSB had closed down after suffering book losses of RM40 million, and PDC was facing losses of our RM20 million investment and loan. When UDA finally agreed to offer to pay RM156 million for PDC’s 49% stake in TIRSB and agreed to our terms to first settle the RM4.4 million loan, PDC recouped not only our loan and investment but made a profit of RM140.6 million.

Once again the Pakatan state government had rehabilitated and saved a failed BN project. Despite this remarkable turnaround of also recording a profit of RM140.6 million that is nearly 10 times the amount invested, Gerakan, UMNO and BN Penang continues to attack us for selling out on Pulau Jerejak to the UDA or the BN Federal Government. Are they not part of BN?

More importantly Gerakan, UMNO and BN should be ashamed of themselves for selling out Pulau Jerejak as early as 2001. This is a classic case of a “thief shouting thief”! Whilst the Pakatan state government does not need Gerakan or UMNO to thank us for recouping our investments, loans and losses, Gerakan and UMNO should apologise to the people of Penang for acting against public interest when they sold out the 80 acres of land in 2001.

国阵槟州主席邓章耀继续东逃西藏的不敢出示证据证明他虚假指控我在2013年拒绝槟发展机构与宏昇联营,导致槟发展机构失去原可获得的2亿2000万令吉盈利。他还问我为何对2013年拒绝联营一事保持沉默,却在3年后决定将槟发展机构在TIRSB的49%股权出售给宏昇的子公司?

我已经讲过邓章耀是在说谎,并要求他出示证据证明我在2013年曾拒绝TIRSB的交易,导致槟发展机构失去原可获得的2亿2000万令吉盈利。邓章耀确实有本事东逃西藏,因为国阵掌控的媒体,包括数家中文报章,无法履行新闻专业及操守施压邓章耀出示书面证据。

很明显的国阵掌控的媒体,包括数家中文报章,在追求真相的时候公然执行双重标准,没有像一直要求槟希联政府出示书面证据、进行调查式报导及公共问责一样地要求对方这么做。我的言论要不是被缩小、剪辑,不然就完全不获刊登。槟希联政府不再对此遭遇沉默,而是要公开这种不专业、有违操守的行为。

邓章耀继续转移视线,现在则问为何以1亿5600万令吉出售TIRSB 49%股权给宏昇子公司需要8年摊还?这道问题的最佳解答者应该是拥有TIRSB 51%的大股东城市发展局。因为是城市发展局把宏昇带进来,而且献议价格,我们在他们同意偿还先前的440万贷款,并在他们8年内缴付所有1亿5600万令吉后,才同意正式将TIRSB的49%股权转移。

邓章耀应该要熟读大马公司法才能了解有限公司(sdn bhd)小股东没有发言权甚至自行出售自己股权的权利,你必须要获得董事会的批准,而TIRSB的董事会就是由UDA掌控,股权要卖给谁,价格为何,全是城市发展局说了算。

我们在过去曾拒绝了城市发展局的数项建议,但最终在该局接受我们所开出的条件后,同意在能够获得1亿4060令吉盈利的情况下,将股权脱售。邓章耀继续装傻,当作并不知道交易的相关细节,但实际上,他是可以轻易地就从联邦管辖下的机构– 城市发展局处取得详情。为什么邓章耀不敢向联邦管辖下的城市发展局获取木蔻山内80英亩地皮交易的资料呢?

同样的,巫统的卫生部副部长希尔米医生,也在装傻地标签槟州发展机构出售TIRSB 的49%股权,是槟州人民的损失,因为我们失去了对整个木蔻山岛屿的控制权。首先,脱售股权的,并不是总面积895英亩的整个岛屿,这只是岛上的80英亩而已。其次,在1997年成立TIRSB、在2001年将有关地皮以低于市价73%售给TIRSB的,并不是现任的希望联盟州政府,而是前朝国阵政府。

在2001年,当国阵以亏损3460万令吉的价格将木蔻山80英亩的地皮售给TIRSB时,国阵已经背叛了槟州人民。早在1997年,当槟州发展机构注资1544万令吉在TIRSB却只持有49%无“话事权”之股权时,槟州人民也已经遭国阵所背叛。难道希尔米在1997年至2001年之间,不是国阵州行政的一部分吗?2001年之后,槟州发展机构及槟州政府已经对木蔻山80英亩的地皮,完全失去了控制权,并由城市发展局及联邦政府完全接管。

在经历了4000万令吉的账面亏损后,TIRSB 已经结业,而槟州发展机构则面对2000万令吉的投资及贷款亏损。当城市发展局最终同意缴付1亿5600万令吉,以换取TIRSB的49%股权,并同意我们所开出的条件,即先行清还他们所欠下的440万令吉贷款;槟州发展机构不仅成功收回我们的投资及解决了贷款问题,更从中赚取了1亿4060万令吉。

谨此重申,槟州希望联盟政府已经成功恢复及拯救了国阵的失败计划。这个显著的周转,让我们成功从中获得1亿4060万令吉的利润,也即是当初投资的近10倍。槟州民政党、巫统及国阵却继续攻击我们,说我们将木蔻山出售给城市发展局及国阵联邦政府。难道他们不是国阵的一份子吗?

更重要的是,民政党应为他们早在2001年就卖掉木蔻山而感到羞耻。这是典型的“做贼喊贼”案例!希联州政府并不需要民政党感谢我们收回投资、贷款及亏损,但民政党及巫统需为他们在2001年卖掉岛上的80英亩一事向槟州人民道歉。
